Terms of service
Last updated: 27 September 2026
1. The agreement
These terms form an agreement between Standwise ("Standwise", "we", "us") and the organization that signs up for or uses Standwise (the "Customer", "you"). They cover the Standwise website, apps, chat integrations and related services (together, the "Service").
If you accept these terms on behalf of an organization, you confirm that you have authority to bind that organization. If you do not agree to these terms, do not use the Service. If you have signed a separate written agreement with us, that agreement takes precedence where it conflicts with these terms.
2. Accounts and administrators
- You must give accurate information when you create a workspace and keep it up to date.
- The people you invite to your workspace ("Users") may use the Service only on your behalf. You are responsible for their activity and for making sure they follow these terms.
- Workspace administrators control Users, roles, permissions, connected tools and settings such as location check-in. You are responsible for choosing and managing your administrators.
- Keep sign-in details secure and tell us promptly at support@standwise.app if you suspect unauthorized access.
- You must be at least 16 years old, or the age of legal majority where you live if higher, to use the Service.
3. Plans, trials and billing
- Free plan. Teams of up to 10 people can use the free plan, subject to the limits shown on our pricing page. We may change free plan limits with reasonable notice.
- Trials. Larger teams can try paid features for 14 days without a credit card. At the end of a trial, you can choose a paid plan or your workspace moves to the free plan or is paused.
- Fees. Paid plans are charged per person per month for each product you subscribe to, billed monthly or annually in advance. Fees are shown on the pricing page or in your order.
- Renewal. Subscriptions renew automatically for the same billing period unless you cancel before the renewal date.
- Changes to your plan. Adding people or upgrading takes effect immediately and is charged on a prorated basis. Downgrades and reductions take effect at the start of the next billing period.
- Taxes. Fees do not include taxes. You are responsible for any sales, use, VAT or similar taxes that apply, other than taxes on our income.
- Refunds. Fees already paid are non-refundable, except where required by law or where we terminate the Service without cause.
- Price changes. We will give you at least 30 days' notice of a price increase. The new price applies from your next renewal.
- Late payment. If payment is overdue, we may suspend paid features after giving you notice and a reasonable chance to pay.
4. Acceptable use
You and your Users must not:
- use the Service in breach of any law, including employment, privacy, data protection and anti-discrimination laws;
- upload content that is unlawful, infringing, harmful or that you do not have the right to share;
- try to access another customer's data, probe or break the Service's security, or get around usage limits;
- interfere with or overload the Service, or introduce malware;
- copy, resell or sublicense the Service, or use it to build a competing product;
- reverse engineer the Service, except where the law allows it despite this restriction.
Standwise includes features that process information about employees, such as attendance, location at check-in and time off. You are responsible for deciding whether and how to use these features, for giving employees any notices required by law, and for obtaining any consent or consulting any works council or employee representatives where required.
5. Customer data
- Ownership. You own the information that you and your Users put into the Service or sync from connected tools ("Customer Data").
- Our use. You give us permission to host, process and display Customer Data only as needed to provide, secure and support the Service for you. We do not sell Customer Data and we do not use it to train AI models.
- Data processing. Where we process personal information on your behalf, we act as your processor. Our data processing agreement, available on request at support@standwise.app, forms part of these terms.
- Export and deletion. Administrators can export Customer Data at any time. When your subscription ends, we delete Customer Data after a short grace period, unless the law requires us to keep it longer.
- Service data. We may use information about how the Service is used and performs, without the content of Customer Data, to operate, secure and improve it.
You can read more about our safeguards on our security page and in our privacy policy.
6. Third-party integrations
The Service connects to tools such as Slack, Microsoft Teams, Jira, ClickUp, Asana, Linear, Google Workspace and Microsoft 365. When you connect a tool, you authorize us to exchange data with it on your behalf. Those tools are provided by their own vendors under their own terms and privacy policies. We are not responsible for them, and an integration may stop working if a vendor changes or withdraws its service.
7. AI features
- Some features, such as standup summaries and reports, use AI to write text. Numbers in summaries are calculated by Standwise, but AI-written wording can still be incomplete or wrong. Review it before relying on it for decisions about people.
- Actions the AI suggests in another tool wait for a person to approve them, unless your administrators choose to allow them automatically. You are responsible for actions you approve or allow.
- We do not use Customer Data to train AI models, and sensitive fields such as compensation, government ID numbers, documents and time off reasons are never sent to AI models.
8. Availability and support
We work to keep the Service available and reliable, but we do not promise uninterrupted or error-free operation. We may carry out planned maintenance and will try to schedule it at times of low use and give notice where practical. Support is available by email at hello@standwise.app, and some plans include extra support. Any service level commitment applies only if it is set out in a written agreement with us.
We may change or improve the Service over time. If we remove a major feature of a paid plan, we will give you reasonable notice.
9. Confidentiality
Each party will protect the other's confidential information with at least reasonable care, use it only for purposes of this agreement, and share it only with people who need to know it and are bound by similar duties. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law (with notice to the other party where allowed).
10. Intellectual property
We own the Service, including its software, design and branding. These terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback or suggestions, we may use them without any obligation to you.
11. Warranties and disclaimers
Each party confirms that it has the right to enter into this agreement. You confirm that you have the rights and permissions needed for us to process Customer Data as described in these terms.
Except as expressly stated in these terms, the Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Features labeled early access, beta or coming later may be incomplete and may change or be withdrawn.
12. Limitation of liability
To the fullest extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if it was told they were possible;
- each party's total liability under this agreement is limited to the fees you paid for the Service in the 12 months before the event that gave rise to the claim, or USD 100 if you use only the free plan.
These limits do not apply to your payment obligations, to either party's indemnity obligations, or to liability that cannot be limited by law.
13. Indemnities
We will defend you against third-party claims that the Service, as we provide it, infringes their intellectual property rights, and pay the resulting damages and costs awarded or agreed in settlement. You will defend us against third-party claims arising from Customer Data or from your or your Users' use of the Service in breach of these terms or the law, and pay the resulting damages and costs. The party seeking protection must notify the other promptly, let it control the defense, and give reasonable help.
14. Term, suspension and termination
- This agreement lasts for as long as you use the Service.
- You can cancel at any time from your workspace settings or by contacting us. Cancellation takes effect at the end of your current billing period.
- Either party may terminate if the other seriously breaches these terms and does not fix the breach within 30 days of written notice.
- We may suspend access immediately if needed to prevent harm to the Service, other customers or the public, or where the law requires it. We will tell you and restore access once the issue is resolved.
- After termination, your right to use the Service ends, and Customer Data is handled as described in section 5. Sections that by their nature should survive, including sections 5, 9, 10, 11, 12, 13 and 15, continue to apply.
15. General
- Governing law. These terms are governed by the laws of the jurisdiction where Standwise is established, and disputes will be resolved in the courts of that jurisdiction, unless the law where you are based requires otherwise.
- Changes to these terms. We may update these terms from time to time. We will post the updated terms here and, for material changes, notify administrators at least 30 days in advance. Continuing to use the Service after changes take effect means you accept them.
- Assignment. Neither party may transfer this agreement without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets.
- Force majeure. Neither party is responsible for delays caused by events beyond its reasonable control, other than payment obligations.
- Publicity. We may name you as a customer unless you ask us not to.
- Entire agreement. These terms, together with any order and our data processing agreement, are the entire agreement between us about the Service. If any part is found unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it.
